Paracosm Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Paracosm LLC ("Paracosm," "we," "us," or "our") and apply to your access to and use of:
- the Paracosm mobile application (the "App"), and
- the website located at https://www.whatisparacosm.com (the "Website"),
- and any related services, content, and features (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and Age Requirement
- You must be at least 16 years old to use the Services.
- If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and is responsible for your use of the Services.
- You may not use the Services if you are barred from doing so under applicable law.
2. Account Registration and Security
- You may need to create an account and provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You agree to promptly notify us if you suspect unauthorized access or misuse of your account.
- We may suspend or terminate accounts that violate these Terms or pose security or safety risks.
3. Changes to the Services and Terms
- We may modify, suspend, or discontinue all or part of the Services at any time.
- We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example in-app notice, Website notice, or email where available).
- Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
4. Acceptable Use
You agree not to:
- violate any applicable law, regulation, or third-party right;
- upload, post, or transmit content that is unlawful, threatening, harassing, hateful, sexually explicit, violent, or otherwise objectionable;
- impersonate another person or entity, including Paracosm or its partners;
- attempt to circumvent location, anti-cheat, moderation, security, or access controls;
- use bots, scripts, or other automated means to scrape, harvest, manipulate, or abuse the Services;
- interfere with or disrupt the Services, servers, or networks.
We may investigate suspected violations and take action including content removal, feature restrictions, suspension, or account termination.
5. User Content
"User Content" means content you submit, upload, post, or otherwise make available through the Services, including photos, profile images, spot submissions, captions, and related metadata.
5.1 Your Ownership
- You retain ownership of your User Content, subject to the rights you grant below.
5.2 License You Grant to Paracosm
By submitting User Content, you grant Paracosm a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for technical formatting), display, perform, distribute, and otherwise use your User Content:
- to operate, provide, maintain, improve, and secure the Services; and
- to promote and market Paracosm and the Services, including on social channels, digital media, and promotional materials.
This license survives for a commercially reasonable period after removal as needed for backup, legal compliance, dispute resolution, and enforcement purposes.
5.3 Your Content Promises
You represent and warrant that:
- you have all rights needed to submit the User Content;
- your User Content does not infringe or violate any third-party rights;
- your User Content complies with these Terms and applicable law.
6. Content Moderation and Reporting
- We may review, moderate, remove, restrict, or reject User Content at our discretion to enforce these Terms and community standards.
- We may use a combination of automated and manual moderation tools.
- We may provide reporting and appeals channels, but we are not obligated to host or restore any specific content.
7. Stickers, Perks, and Partner Offers
- Stickers, in-app status, and related rewards may be subject to additional rules, location constraints, availability limits, and anti-abuse checks.
- Any partner discount, perk, or offer is provided by the participating partner and may be modified, limited, or discontinued at any time.
- Paracosm does not guarantee partner availability, acceptance, or fulfillment of any offer.
8. Third-Party Services
The Services may include integrations, links, or functionality provided by third parties (for example map providers, identity providers, app stores, payment processors, or external websites). We do not control and are not responsible for third-party services, terms, or privacy practices.
9. Paid Features, Subscriptions, Ads, and Sponsored Content
- The Services may currently be free to access, but we may introduce paid features, subscriptions, digital offerings, and related terms in the future.
- The Services may include advertising, sponsored placements, or promotional content.
- Where required by law, paid feature terms and billing disclosures will be presented before purchase.
10. Intellectual Property
- Except for User Content, the Services and all related software, design, text, graphics, logos, trademarks, and other materials are owned by Paracosm or its licensors and are protected by intellectual property laws.
- Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial use.
- No rights are granted except as expressly stated.
11. Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant Paracosm a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without compensation or restriction.
12. Termination
- You may stop using the Services at any time.
- We may suspend or terminate your access, with or without notice, if we believe you violated these Terms, created risk, or if required by law.
- Sections that by their nature should survive termination will survive, including ownership, licenses, disclaimers, limitation of liability, indemnity, dispute resolution, and governing law.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARACOSM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- ONE HUNDRED U.S. DOLLARS (USD $100), OR
- THE AMOUNTS YOU PAID US (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the maximum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Paracosm and its affiliates, officers, directors, employees, agents, partners, and licensors from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms;
- your violation of any law or third-party right.
16. Dispute Resolution by Binding Arbitration
Please read this section carefully. It affects your legal rights.
16.1 Informal Resolution First
Before filing a claim, you and Paracosm agree to try to resolve disputes informally. You must send a written notice of dispute to paracosm.gif@gmail.com or 1117 E 18th St, Unit D, Charlotte, NC 28205 describing your claim and requested relief. If the dispute is not resolved within 30 days, either party may proceed as allowed below.
16.2 Agreement to Arbitrate
Except for disputes eligible for small claims court or claims seeking injunctive relief for intellectual property misuse, you and Paracosm agree to resolve disputes arising out of or relating to these Terms or the Services through final and binding individual arbitration, instead of in court.
16.3 Class Action Waiver
YOU AND PARACOSM AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, MASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.
16.4 Arbitration Administration
Unless otherwise required by applicable law, arbitration will be administered by a recognized arbitration provider under its applicable consumer arbitration rules. The arbitrator will have exclusive authority to decide all issues except those reserved to a court by law.
16.5 30-Day Opt-Out Right
You may opt out of this arbitration agreement and class action waiver within 30 days of first accepting these Terms by sending written notice with your account identifier and clear opt-out statement to paracosm.gif@gmail.com or 1117 E 18th St, Unit D, Charlotte, NC 28205. Opting out will not affect the rest of these Terms.
17. Governing Law and Venue
- These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles.
- If a dispute is permitted to proceed in court (for example, small claims or where arbitration is unenforceable), you and Paracosm consent to exclusive jurisdiction and venue in the state or federal courts located in North Carolina, unless applicable law requires otherwise.
18. International Use
- The Services may be accessed globally.
- You are responsible for compliance with local laws where you access or use the Services.
- We may transfer, process, and store information in countries other than your own, subject to safeguards described in our Privacy Policy.

20. Miscellaneous
- If any part of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
- Our failure to enforce a provision is not a waiver of our right to do so later.
- You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
- These Terms, together with any additional terms incorporated by reference, are the entire agreement between you and Paracosm regarding the Services.
